Larissa is a law clerk in the firm’s Capital Markets Group. She has experience with coordinating prospectuses and continuous disclosure filings, including preparing and organizing documents to be filed. Larissa assists with the preparation of annual financial filings, liaises with securities regulators on a range of issues and handles insider reporting and early warning filing reports on SEDI or SEDAR. She also conducts research on securities requirements, filing fees, issuer fees and Canadian Exchange policies.
Larissa is skilled in preparing and filing exempt trade reports and has a high level of knowledge pertaining to securities practice laws, including the Ontario Securities Act and the National Instruments, Forms and Policies.
Represented a U.S. private equity firm as Canadian counsel in connection with its acquisition of a Canadian software company focused on streamlining operations and improving operational efficiency in the manufacturing industry.
Acted for the Target Company in a TSXV-listed company's acquisition of a Rare Earth Elements mineral property in Western Newfoundland.
Advised Celestial Acquisition Corp. (TSXV:CES.P), a space technology-focused CPC , on its initial public offering on the TSX Venture Exchange. Celestial is the first space technology capital pool company to be listed on the TSX Venture Exchange.
